Terms of Service

1. Acceptance of Terms

By accessing the Ariestone website or utilizing our consulting, integration, or monitoring services, you agree to be bound by these Terms of Service. If you are entering into these terms on behalf of an enterprise, government entity, or other legal entity, you represent that you have the authority to bind such entity to these terms.

2. Scope of Services

Ariestone provides enterprise-grade engineering, hardware procurement, system integration, and software solutions ("Services"). The specific scope, deliverables, and timelines for any physical deployment or infrastructure integration will be governed by a separate, mutually executed Master Services Agreement (MSA) and Statement of Work (SOW).

3. Hardware Procurement and Deployment

  • Lead Times: Procurement timelines are estimates based on global supply chain conditions. Ariestone is not liable for delays caused by third-party manufacturers or shipping constraints.
  • Commissioning: Transfer of hardware ownership and risk of loss passes to the client upon the successful completion of the Site Acceptance Test (SAT) and official handover.

4. Service Level Agreements (SLAs)

Uptime guarantees, response times for maintenance, and remote telemetry monitoring parameters are exclusively defined within the specific SLA contract purchased by the client. Standard website usage does not constitute an SLA.

5. Intellectual Property

All custom logic programming, architectural blueprints, UI dashboard designs, and proprietary middleware configured by Ariestone remain the intellectual property of Ariestone unless explicitly transferred in writing. Clients are granted a non-exclusive, non-transferable license to utilize these configurations for their internal operations.

6. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Ariestone, its directors, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; or (iii) unauthorized access, use, or alteration of your transmissions or content.

7. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of the Province of Manitoba and the federal laws of Canada applicable therein, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be resolved exclusively in the courts located in Winnipeg, MB, Canada.
